By creating an account or using SubSparq ("the Service"), you agree to these Terms of Service. If you don't agree, don't use the Service. These terms apply to all users, including beta users and paid subscribers.
SubSparq is an AI-powered bid management platform for construction subcontractors. It helps you analyze bid documents, identify risks, and manage the bid workflow. SubSparq is a decision-support tool — it provides information and analysis to help you make better decisions. SubSparq does not provide legal advice, financial advice, or professional consulting services.
The AI analysis SubSparq provides is based on pattern recognition across documents. You should always apply your own judgment and consult qualified professionals when making significant business or legal decisions.
You are responsible for maintaining the security of your account credentials. You are responsible for all activity that occurs under your account. If you believe your account has been compromised, notify us immediately at support@subsparq.com.
You must be at least 18 years old and authorized to act on behalf of any business you register. You may not create accounts on behalf of others without their knowledge and consent.
You agree to use SubSparq only for lawful purposes and in accordance with these terms. You may not:
You retain ownership of all documents and data you upload to SubSparq. By uploading content, you grant SubSparq a limited license to process that content solely for the purpose of providing the Service to you.
We do not use your uploaded bid documents to train AI models. Your content is private to your account. See our Privacy Policy for full details.
During the private beta period, SubSparq is provided at no cost with full Pro access. Beta access may be revoked at our discretion if a user engages in behavior inconsistent with these terms or the spirit of the beta program. Beta users agree to provide honest feedback and participate in at least one feedback session when requested.
Beta features are provided as-is. We make no guarantees about uptime, data availability, or feature completeness during the beta period.
When SubSparq moves to general availability, paid plans will be billed monthly or annually. You may cancel your subscription at any time. Cancellations take effect at the end of the current billing period — we do not offer prorated refunds for partial months. Founding member pricing locked in during beta will be honored for the duration of your continuous subscription.
We strive for high availability but do not guarantee uninterrupted access to the Service. We may perform maintenance, release updates, or experience outages. We will communicate planned downtime in advance when possible.
SubSparq is provided "as is" and "as available." We make no warranties — express or implied — about the accuracy, completeness, or fitness for a particular purpose of the AI analysis or any other part of the Service. Always verify AI-generated analysis against source documents and apply your own professional judgment before making bid decisions.
To the maximum extent permitted by law, SubSparq shall not be liable for any indirect, incidental, special, or consequential damages arising from your use of or inability to use the Service — including but not limited to lost profits, lost bids, or business interruption — even if advised of the possibility of such damages.
Our total liability to you for any claim arising from these terms or your use of the Service shall not exceed the amount you paid to SubSparq in the twelve months preceding the claim.
You agree to indemnify and hold SubSparq harmless from any claims, damages, or expenses (including reasonable attorney's fees) arising from your use of the Service, your violation of these terms, or your violation of any third-party rights.
We may update these terms from time to time. We will notify you of material changes via email or in-app notice. Continued use of the Service after changes take effect constitutes acceptance of the updated terms.
These terms are governed by the laws of the Commonwealth of Virginia, without regard to conflict of law principles. Any disputes shall be resolved in the state or federal courts located in Virginia.
